1. Agreement to Terms

By accessing and using Webnith's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Webnith provides custom web development services including but not limited to:

  • Custom web application development
  • E-commerce website development
  • Mobile application development
  • AI integration services
  • API development and integration
  • Database design and optimization
  • UI/UX design services
  • Website maintenance and support
  • SEO optimization
  • Performance optimization
  • Security audits and implementation

3. Project Scope and Deliverables

All projects will be defined by a detailed project proposal that includes:

  • Project scope and objectives
  • Deliverables and milestones
  • Timeline and deadlines
  • Pricing and payment terms
  • Technical specifications
  • Testing and quality assurance requirements

4. Payment Terms

Payment terms are as follows:

  • 50% deposit required before project commencement
  • 25% payment due at project milestone (typically 50% completion)
  • 25% final payment due upon project completion and delivery
  • All prices are in New Zealand Dollars (NZD) unless otherwise specified
  • Payment is due within 14 days of invoice date
  • Late payments may incur a 2% monthly service charge

5. Intellectual Property Rights

Upon full payment, the client will own all rights to the custom code and designs created specifically for their project. However:

  • Webnith retains rights to any pre-existing code, frameworks, or libraries used
  • Third-party components remain subject to their respective licenses
  • Webnith may use project screenshots and descriptions for portfolio purposes
  • Source code will be provided upon final payment unless otherwise agreed

6. Client Responsibilities

The client is responsible for:

  • Providing accurate and complete project requirements
  • Timely feedback and approval of deliverables
  • Providing necessary content, images, and materials
  • Access to required systems and accounts
  • Testing and approval of completed work
  • Payment according to agreed terms

7. Project Timeline and Delays

Project timelines are estimates based on the information provided at project commencement. Delays may occur due to:

  • Client feedback delays (beyond 5 business days)
  • Scope changes or additional requirements
  • Third-party dependencies or integrations
  • Technical complexities not initially apparent
  • Force majeure events

8. Revisions and Changes

Minor revisions are included in the project scope. Major changes or additions will be quoted separately and may affect project timeline and cost. All change requests must be submitted in writing.

9. Warranty and Support

Webnith provides a 90-day warranty on all custom development work, covering:

  • Bug fixes for issues not caused by client modifications
  • Compatibility issues with specified browsers and devices
  • Performance issues within agreed specifications
  • Security vulnerabilities in custom code

Ongoing maintenance and support services are available separately.

10. Limitation of Liability

Webnith's liability is limited to the total amount paid for the specific project. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables.

11. Confidentiality

Webnith maintains strict confidentiality regarding all client information, project details, and business data. We will not disclose any confidential information to third parties without written consent.

12. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

  • Client will pay for all work completed to date
  • Webnith will deliver all completed work
  • Confidentiality obligations remain in effect
  • Intellectual property rights transfer as per original agreement

13. Governing Law

This agreement is governed by the laws of New Zealand. Any disputes will be resolved through the New Zealand courts.
